Core Requirement #2.3 (Chief Executive Officer)

The institution has a chief executive officer whose primary responsibility is to the institution and who is not the presiding officer of the board.

Compliance Certification

The College of William and Mary is in compliance with this requirement.

Explanation

The board is empowered to appoint a President, a Faculty, and such other employees as are necessary to conduct the activities of the College. The president is not a member of the board and is not the presiding officer of the board.

The College of William and Mary Bylaws, Article II, Section 1, paragraph one, approved as amended February 4, 2005, describes the responsibility of the chief executive officer for the institution: "under the authority and discretion of the Board of Visitors, the President of the College is responsible for the administration and courses of instruction of the College of William & Mary in Virginia."

The College of William and Mary Bylaws, Article I, Section 2, paragraph three, approved as amended February 4, 2005, identifies the Rector as the presiding officer of the Board: "The Rector shall preside over all meetings of the board and, unless otherwise directed by the board, determine the order of its business. The Rector shall perform other duties that may be prescribed by law or by the board. When the Rector is absent or unable to discharge the duties of the office, the Vice Rector shall act as Rector. The Secretary shall act as Rector if neither the Rector nor the Vice Rector is available or able to perform the duties of that office." The Rector and other board officers are elected by the board and serve two year terms.
