Comprehensive Standard 3.2.1: The governing board of the institution is responsible for the selection and the evaluation of the chief executive officer.

Off-site review question:

     “The Committee could not determine that College complies with the section of the standard related to the governing board’s responsibility for the evaluation of the chief executive officer. In its narrative statement, the institution asserts the Board periodically evaluates the President and offers the Board’s November 20-21, 2003 minutes as supporting evidence. Review of the College’s bylaws did not reveal provision for the evaluation of the President. The November 20-21, 2003 Board minutes record that a closed session was held ‘to discuss matters pertaining to specific personnel and the consideration of contracts.’ This set of minutes also record the Board’s approval of the President’s salary. The College asserts that the Board reviewed the president and determined his salary based on the review. However, the College did not provide evidence in policy or documentation of practice related to the Board’s evaluation of the president. The institution should present documentation that verifies evaluation of the President by the Board of Visitors. (See also 3.2.10)”

Response:

     On February 10, 2006, the College’s Board of Visitors passed a resolution amending the College of William and Mary Bylaws, adding the following sentence: “Annually at a date set by the Rector of the College, the Board shall conduct an evaluation of the performance of the President for the preceding year.” Please see College of William and Mary Bylaws, Article II, Section 1, paragraph 1 (original); and Article II, Section 1, Paragraph 1 revised.
